Welcome to the Mineral Trade Platform!

Below we present the Terms and Conditions ("Terms"), containing the main rules and general conditions that must be observed when accessing and using the features of the Mineral Trade platform ("Platform"), developed and managed by Mineral Trade LTDA ("Mineral Trade"), a business entity registered with CNPJ/MF under No. 66.519.590/0001-71, headquartered at Rua Fernando de Noronha, 142, 2nd floor, Jardim Guadalajara, Vila Velha, Espírito Santo, Brazil, ZIP Code 29.109-040, available electronically at: https://www.mineraltrade.com

i. These Terms describe the main rules of the Platform, which was developed to enable digital advertisements related to the mining sector, including the purchase and sale of mineral rights; purchase and sale of minerals; service offerings; purchase and sale of mining equipment; and listings of consumable items for the mining industry.

ii. The publication of certain sales advertisements on the Platform—those considered more detailed—as well as service advertisements from legal entities, will require prior payment for such postings.

As a condition for accessing and using the Platform's features, you declare that you have fully and carefully read these Terms and are fully aware of and in agreement with them.

During the use of the Platform, access to certain features may require the submission of information and the performance of validation and verification procedures, in order to maintain the provision of services.

Basic Definitions

For better understanding of these Terms, the following definitions apply:

Customer Support Channels: Means of contact provided by Mineral Trade for handling user requests, questions, and suggestions.

Our Environments: Refers to the website https://www.mineraltrade.com and its subdomains.

Access Account: The account created for using the features available in the Platform's environments.

Layout: The set comprises the appearance, design, and navigation flows of the website.

Sanctioned Person: Any individual or legal entity, organization, government, agency, instrumentality, vessel, aircraft, or other subject that: (i) appears, is designated, listed, or subject to blocking/restriction under any sanctions imposed by governments or international entities; and/or (ii) is located, incorporated, domiciled, resident, or operating in a country/territory subject to comprehensive embargoes, when applicable; and/or (iii) is owned or controlled, directly or indirectly (including through shareholding, de facto control, voting agreements, appointment powers, or equivalent means) by a person falling under items (i) and/or (ii), to the extent provided by sanctions imposed by governments or international entities.

User: You — the individual or legal entity that uses the services and features offered within the Platform.

Features and Access

2.1. Platform. The services offered by Mineral Trade consist of providing an online Platform for the publication of digital advertisements related to the mining sector.

2.2. Presentation. The Platform and its features are presented to Users in the manner in which they are currently available. Mineral Trade reserves the right to make ongoing improvements and updates—both functional and related to content and methodologies—without prior notice.

2.2.1. In such cases, Mineral Trade undertakes to preserve the functionality of the Platform through reasonable efforts, using a Layout that respects usability and navigability whenever possible, as well as displaying features in a clear, complete, accurate, and sufficient manner so that Users correctly understand what is being offered. Mineral Trade will also protect, using the best available technical standards, the data collected through the features provided.

2.3. Access Criteria. Mineral Trade may, at any time and at its sole discretion, change the eligibility criteria for accessing and using the Platform without prior notice to the User or any third party. It is therefore essential that you always review the current rules when using our features.

2.3.1. Mineral Trade may refuse, deny approval, cancel, or limit any requests if the User does not provide accurate information or if it is verified that the Platform has been used fraudulently or in violation of these Terms of Use.

2.4. Ad Validation. All content submitted to the Platform will undergo a validation process by Mineral Trade before being published. Validation will occur within 24 (twenty-four) hours, which may be extended if necessary.

2.4.1. Advertisements must be clear, with complete and sufficient descriptions for publication, containing all relevant factors about the product and/or service offered by the advertiser, and must comply with the guidelines of these Terms.

2.4.2. Mineral Trade may refuse, suspend, or request adjustments to the advertisement content, at its sole discretion, if it identifies missing information, inadequate quality, or any other factor that may compromise the credibility and/or performance of the Platform.

2.4.3. Validation of an advertisement does not imply any guarantee of results or assumption of responsibility by the Platform. The advertiser is solely and fully responsible for the accuracy of the information provided and for ensuring that the content complies with legal requirements and the Platform's guidelines.

2.5. Communications. You may receive messages through our virtual environment, via tools available on the Platform, and/or by email, containing notices, announcements, and surveys from Mineral Trade. These surveys help us understand which products and features you prefer on the Platform and what can be improved.

Registration

3.1. Registration. To use the features and services offered in Our Environments, you must create an Access Account with Mineral Trade, in which case these Terms and Conditions of Use will apply.

3.2. Integrity of Information. You are solely responsible for the integrity and accuracy of the information entered in your registration and in your advertisements on the Platform, as well as for any operation performed in Our Environments. You assume all risks related to such actions and are civilly and criminally liable for the consequences arising from the improper use of third-party information or false information, including claims made by third parties before Competent Authorities, whether judicial or extrajudicial.

3.2.1. You agree to inform Mineral Trade of any changes to your data through the Customer Support Channels or directly on the Platform, for update purposes.

3.3. Registration Limit. Registration on the Platform is limited to one (01) User per email address. It is expressly prohibited for the same User to have more than one registration, even if linked to different email addresses.

3.4. Deletion of Registration. You may request the deletion of your Platform registration and your information, if you so wish, through our Customer Support Channels available on the website or by email at: contact@mineraltrade.com

3.5. Confidentiality of Registration Data. You must keep your Access Account credentials confidential and use them individually and non-transferably. You must not provide, disclose, or share your password or any authentication mechanism with anyone. If you suspect that your password confidentiality has been compromised, you must change or update it as soon as possible and notify Mineral Trade through the Customer Support Channels so that appropriate measures can be taken, when applicable.

3.5.1. All access and operations performed on the Platform after a successful login are conclusively interpreted as your responsibility, including those resulting from misuse or disclosure of your credentials to third parties.

3.6. Legality of Your Data. Mineral Trade shall not be presumed to have any obligation to process your Data if there is reason to believe that such processing may result in any violation of applicable law or if the Platform is being used, at our sole discretion, for illegal, unlawful, or immoral purposes.

Obligations of the Parties

4.1. Mineral Trade, in addition to the provisions throughout these Terms, undertakes to: a. Provide services to Platform Users with the highest ethical and professional standards, in compliance with applicable laws and regulations, always considering the well-being and best interests of the parties. b. Provide clear and transparent information regarding the services offered by the Platform, as well as its customer support. c. Maintain complete and absolute confidentiality over any data, registrations, and information it becomes aware of or has access to, or that is entrusted to it due to the User's Registration.

4.2. The User, in addition to the provisions throughout these Terms, undertakes to: a. Provide only truthful, accurate, and complete information. b. Be legally capable of selling the advertised products and/or services. c. Keep all registration data on the Platform up to date. d. Act in good faith and in compliance with applicable laws. e. Carefully review and comply with all conditions and policies mentioned in these Terms.

4.2.1. Considering that Mineral Trade is not a party to the negotiations resulting from advertisements on its Platform, regarding the sale of products and/or services between Users (advertiser and interested party), it is the sole and exclusive responsibility of the advertising User to comply with all applicable laws in the negotiation between the involved parties, including tax, labor, environmental, consumer, and any other relevant regulations.

Content, Submitted Data, and Intellectual Property

5.1. Content. Use of the Platform does not imply any presumption of transfer of ownership or licensing of the content owned by Mineral Trade. Therefore, you may not use or commercialize, in whole or in part, third-party Content—including that belonging to Mineral Trade or others—without authorization, whether for profit or not. If you do so, you may be civilly and criminally liable for violating the rights of Mineral Trade or any third-party content owner, as applicable.

5.1.1. Unless otherwise stated in these Terms of Use, all news, images, videos, files, and trademarks available on the website, related to the Platform and the Mineral Trade structure as a whole—such as screen captures, databases, and files, in any language or format—are the exclusive property of Mineral Trade or licensed to it.

5.1.1.1. The content of advertisements published on the Platform—including descriptions, technical information, news, images, videos, trademarks, and any other information about advertised products and services—is the exclusive property and responsibility of the advertiser and/or third parties. In this context, Mineral Trade acts solely as an intermediary Platform for publication.

5.1.1.2. The User guarantees and declares that they are the owner—or, when applicable, have proper authorization—of the intellectual property rights necessary to advertise on Mineral Trade and offer the advertised products and/or services, acknowledging that they are solely responsible for the content of their advertisements.

5.1.2. The Mineral Trade trademark is registered property and may not be reproduced without the company's express authorization. Photographs, videos, and symbols belonging to the Platform—excluding those published by Users—require company authorization for editorial reproduction or any commercial use. For this purpose, Users must contact the commercial department at contact@mineraltrade.com.

5.1.2.1. Third-party trademarks, photographs, videos, and symbols—especially those published in advertisements—are the property and responsibility of those third parties and require their authorization for use. Mineral Trade has no responsibility or control over such matters.

5.1.3. The removal, blocking, or suspension of any Content or functionality of the Site due to a complaint received by Mineral Trade must always be understood as an act of good faith and an attempt to resolve conflicts amicably, and never as an admission of guilt or acknowledgment of any violation of third-party rights by Mineral Trade.

5.2. Intellectual Property. All information, databases, news, images, trademarks, domains, and market information made available on the Platform by Mineral Trade, in any language or format, are the exclusive property of Mineral Trade or licensed to it ("Content"). Use of the Platform does not imply any transfer of ownership or licensing. Therefore, you may not commercialize, in whole or in part, the Content by any means, whether for profit or not, and doing so may result in civil and criminal penalties imposed by Mineral Trade and/or any third-party rights holders.

5.3. Integrity. The User agrees not to access the Platform's programming areas, databases, source code, or any other set of data available in these environments, nor perform or allow reverse engineering, translation, decompilation, copying, modification, reproduction, rental, sublicensing, publication, disclosure, transmission, lending, distribution, or any other improper use of the Platform's functionalities.

5.3.1. The use of data-mining software (bots, crawlers, spiders, etc.) of any type or nature, or any similar tool, is prohibited.

5.3.2. In the event of a violation of any provision of these Terms of Use, the User shall indemnify Mineral Trade and any third parties harmed for all losses and damages—including moral or competitive damages—expenses, or other charges resulting from such violation, including but not limited to attorney fees and legal costs.

Disclaimer and Limitations of Liability

6.1. Availability. Mineral Trade makes every effort to maintain continuous and permanent availability of the Platform. However, temporary unavailability may occur due to necessary maintenance or force majeure events, such as natural disasters, communication system failures, internet outages, cyberattacks, or any third-party events beyond Mineral Trade's control.

6.1.1. If this occurs, Mineral Trade will make reasonable efforts to restore access to the Platform as quickly as possible, within the technical limitations of its services and those of third parties on which it depends. Therefore, the User acknowledges that they may not claim compensation or damages if the Platform remains offline, regardless of the reason.

6.1.2. Maintenance procedures that result in prolonged unavailability will be communicated through official channels.

6.1.3. Without prejudice to other conditions in these Terms, Mineral Trade shall not be liable for: (i) Any problems, bugs, glitches, or malfunctions occurring on your devices or equipment; (ii) Any direct or indirect damage caused by third-party events, such as hacker attacks, system failures, server failures, or internet connection issues, including software actions that may damage physical or logical assets due to access, use, or navigation on the Platform, as well as the transfer of data, files, images, texts, audio, or videos contained on the Platform; (iii) Navigation through external links available on the Platform—it is your responsibility to read the Terms of Use and Privacy Notice of the accessed resource and act accordingly; (iv) Verifying, controlling, approving, or guaranteeing the adequacy or accuracy of information or data available on such external links—Mineral Trade is not responsible for any losses or damage resulting from visiting such sites, and it is the User's responsibility to verify the reliability of the information before making any decision or taking any action.

6.2. Responsibility. Mineral Trade is not the owner of, nor responsible for, the products and services advertised on its Platform by Users, nor for negotiations and contracts resulting from such advertisements. Therefore, Mineral Trade has no responsibility for the existence, legality, quantity, quality, condition, integrity, intellectual property, or image rights of the advertisements, products, and services published by Users, who are solely responsible for their listings.

6.2.1. Mineral Trade recommends caution between the parties during negotiations. It is the responsibility of the interested User to exercise due diligence and verify the accuracy of information throughout the negotiation with the advertiser.

6.2.2. Users are fully responsible for any information and content shared between them in the chat provided for communication. Mineral Trade does not recommend sharing sensitive, confidential, and/or personal data through the Platform.

6.2.3. The User assumes full responsibility for all direct and indirect losses, including compensation, lost profits, attorney fees, and other judicial or extrajudicial costs that Mineral Trade may incur due to the User's acts or omissions.

6.2.3.1. If Mineral Trade receives a complaint or is contacted by third parties (e.g., trademark owners), Mineral Trade may remove the advertisement and impose applicable sanctions.

Security Recommendations

7.1. Unauthorized Access. Mineral Trade shall not be responsible for any unauthorized third-party access to your account. You are solely responsible for safeguarding your email login credentials in a secure location and for not sharing this information with third parties and/or on the Platform.

7.1.1. Mineral Trade shall also not be responsible for unauthorized access resulting from hacker attacks or viruses that may access your information or registration.

7.1.2. If the User identifies or suspects that their account is being used by unauthorized third parties, or that they have been a victim of hacker attacks or malicious programs and/or files (viruses), they must immediately contact Mineral Trade through the available Communication Channels so that appropriate measures can be taken.

Penalties

8.1. Penalties. Failure to comply with any clause of these Terms may result in: (i) temporary suspension of the User's Registration on Mineral Trade; (ii) blocking and deletion of the User's Access Account on the Platform; and/or (iii) civil and criminal liability.

8.1.1. The User acknowledges and agrees that, during use of the Platform, they shall not engage in any actions that violate morality, ethics, or good faith. Under no circumstances may the User disclose, encourage, or assist in the practice of illegal or fraudulent acts, and must oppose such acts whenever they become aware of them, under penalty of the sanctions described in clause 8.1 above.

Personal Data Protection

9.1. For the execution of its activities, Mineral Trade will depend on the processing of personal data, which will be carried out in accordance with the legislation in force regarding the protection of data relating to an identified or identifiable natural person ("Personal Data"), and with the determinations of regulatory/supervisory authorities on the matter, especially Law No. 13.709/2018 ("Lei Geral de Proteção de Dados").

Other Provisions

10.1. The provisions of these Terms constitute the sole regulatory document governing the services provided by Mineral Trade, prevailing over any other understandings or agreements between the parties regarding such services.

10.2. Anti-Corruption Policy. Users must observe and comply with Brazilian anti-corruption laws, especially Law No. 12.846/13 and its corresponding Decree No. 11.129/22, and must refrain from any activity that constitutes a violation of these Anti-Corruption Rules or any other applicable legislation on the matter.

10.2.1. The User further expressly declares and guarantees that: a) they are not a Sanctioned Person at the time of accepting these Terms, nor do they act on behalf of, under the direction of, or for the benefit of a Sanctioned Person; and b) they commit to respecting and complying with the Sanctions Lists and sanctions published and maintained by OFAC (United States), the European Union, and the United Nations, to the extent applicable.

10.4. Updates to the Terms. These Terms may be updated at any time due to improvements, legal changes, or Mineral Trade's operational needs. Therefore, you should review these Terms whenever necessary.

10.4.1. If significant changes are made to these Terms, Mineral Trade will notify you through Platform tools or via the contact information you provided.

10.5. Novation and Waiver. If Mineral Trade does not require compliance with any condition of these Terms, this does not mean that such conditions cannot be required in the future.

10.6. Severability. If any part of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.7. Communication. You acknowledge that all communication made via email, SMS, or WhatsApp is valid and sufficient for addressing any matter related to the Platform.

10.8. Redirects. Our Environments may direct you to other environments that are not owned by Mineral Trade and that have their own Terms of Use due to their specific characteristics. You must pay attention to the rules governing those environments.

10.9. Date and Time. Our Environments follow the official date and time of Brasília (UTC/GMT -03:00).

10.10. Governing Law and Jurisdiction. This Term shall be governed by the laws of Brazil, in the Portuguese language. Any dispute shall be resolved in the courts of the District of Vila Velha, State of Espírito Santo, Brazil, with express waiver of any other jurisdiction, however privileged it may be.

This Term may be made available in other languages for the user’s convenience by means of a free translation. In the event of any discrepancy between the translated versions, the original Portuguese version shall prevail.
